Terms of Service

1. Who We Are

Rashuv Technologies is a technology company incorporated and operating in India. We build software products for healthcare, business operations, and education.

References to "we", "us", "our", or "Rashuv Technologies" in these Terms mean Rashuv Technologies and its product divisions.

2. Products & Services Covered

These Terms apply to all Rashuv Technologies products and properties:

Where a product has its own Terms of Service document, those product-specific terms apply in addition to (and, in case of conflict, take precedence over) these master Terms for use of that specific product.

3. Acceptance of Terms

By accessing or using any Rashuv Technologies product — including visiting rashuv.com, registering a clinic or business account, or using any of our software applications — you agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of a clinic, hospital, business, or other organization, you warrant that you have the authority to bind that organization. These Terms then apply to that organization and all its authorized users of our products.

If you do not agree to these Terms, you must not use our products or services.

4. Acceptable Use

You may use Rashuv Technologies products only for their intended, lawful purpose. Across all products, you must not:

• Use any product to transmit unlawful, defamatory, fraudulent, or abusive content to other users, patients, or employees
• Attempt to reverse-engineer, decompile, or extract source code from any Rashuv Technologies software
• Introduce automated bots, scrapers, stress-testing scripts, or malicious payloads against our infrastructure without prior written authorization
• Share, transfer, or sell access credentials to unauthorized parties
• Use our products to collect data for any purpose beyond what the product is designed for (e.g., using RMedQ to harvest patient data for purposes unrelated to OPD queue management)
• Attempt to access data belonging to another clinic, organization, or user
• Use our products in a way that violates applicable Indian laws or regulations

5. Subscriptions, Billing & Free Tiers

Rashuv Technologies offers both free and paid access tiers depending on the product:

• Free tiers: Available on qualifying products (currently RashuvMed / RMedQ for small clinics). Free tiers are subject to usage limits and may be modified or discontinued with 30 days' advance notice.
• Paid subscriptions: Billed monthly or annually in advance as agreed at the time of onboarding. Subscription pricing is communicated clearly before commitment.
• Price changes: We will give at least 30 days' advance notice before increasing subscription fees for any active paid account. Continued use after the notice period constitutes acceptance of the new pricing.
• GST: All fees are exclusive of applicable Goods and Services Tax (GST), which will be added at the prevailing rate for B2B transactions in India.
• rashuv.com: Visiting our corporate website and submitting an inquiry is free and does not create a subscription or billing obligation.

6. Refunds & Cancellation

• Cancellation: Paid subscribers may cancel at any time. Cancellation takes effect at the end of the current billing period. Access continues until that date.
• No prorated refunds: We do not offer prorated refunds for unused days within a paid billing period.
• Billing errors: If you are charged in error (e.g., a duplicate charge), contact us at [email protected] within 14 days. We will investigate and issue a correction or refund where a billing error is confirmed.
• Downtime credits: If a paid product experiences a verified, documented outage exceeding 72 continuous hours in a calendar month due to causes within our control, we will credit the pro-rata equivalent of that downtime against the subscriber's next invoice. Credits are non-transferable and not redeemable for cash.

7. Service Availability

We operate our products on Google Firebase and Google Cloud Platform infrastructure hosted in India (asia-south1, Mumbai). We target best-effort availability but do not currently offer a financially guaranteed Service Level Agreement (SLA) with contractual uptime percentages for standard tiers. Enterprise or institutional contracts may negotiate separate SLA terms in writing.

We are not liable for service disruptions caused by:

• Google Firebase or Google Cloud Platform infrastructure incidents
• Telecom carrier outages affecting SMS delivery
• Internet service provider failures at your location
• Scheduled maintenance (communicated in advance where possible)
• Force majeure events (see Section 11)

8. Data Handling & Privacy

Our collection, use, storage, and protection of your data is governed by our Privacy Policy and, for RashuvMed specifically, the RashuvMed Privacy Policy. These documents form part of our agreement with you.

In summary: we do not sell your data, we do not use it for advertising, we store it on Indian infrastructure (Google Cloud asia-south1, Mumbai), and we comply with the Digital Personal Data Protection Act 2023 (DPDP Act).

9. Intellectual Property

All software code, user interface designs, brand assets, trademarks, and content published across Rashuv Technologies properties — including rashuv.com, rmedq.rashuv.com, and all product applications — are the exclusive intellectual property of Rashuv Technologies.

Your subscription or use of any product grants a limited, non-exclusive, non-transferable, revocable right to use that product for its intended purpose during your active subscription term. No ownership rights are transferred. You may not copy, redistribute, sublicense, or create derivative works based on our products without prior written permission.

The following are registered trademarks and brand names of Rashuv Technologies: Rashuv Technologies, RashuvMed, RMedQ, RashuvBiz, RashuvEdu. They may not be used without authorization.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Rashuv Technologies and its directors, employees, and contractors shall not be liable for:

• Indirect, incidental, punitive, or consequential losses arising from your use of or inability to use our products
• Loss of business revenue, profits, or data arising from a service outage
• Any clinical outcome or patient health consequences — our healthcare products are scheduling and queue management tools only
• Data loss resulting from a user clearing their own browser data or device storage
• SMS or email delivery failures caused by third-party carriers or providers

Our total aggregate liability to any subscriber shall not exceed the total fees paid by that subscriber to Rashuv Technologies in the three (3) calendar months immediately preceding the event giving rise to the claim.

11. Force Majeure

Rashuv Technologies shall not be in breach of these Terms or liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, floods, earthquakes, or severe weather events
• Government orders, regulatory action, or internet shutdowns
• Extended outages of Google Firebase, Google Cloud, or Cloudflare infrastructure
• Cyberattacks, DDoS attacks, or other malicious third-party actions directed at our infrastructure
• Nationwide telecom failures affecting SMS or internet services across India

We will notify affected users and subscribers as soon as practicable of a force majeure event and its expected duration.

12. Account Termination & Data Deletion

You may terminate your account at any time by contacting us at [email protected]. Upon termination:

• Paid access continues until the end of the current billing period
• Your account data (clinic settings, employee records, etc.) is retained for 90 days after closure to allow for data export requests, then permanently deleted
• You may request immediate data deletion by including that request explicitly when closing your account

We may terminate or suspend your account if we determine that you have materially breached these Terms, engaged in fraudulent activity, or used our products in a way that causes harm to other users. We will give advance notice and an opportunity to remedy the breach where feasible, except in cases of serious violations.

13. Modifications to These Terms

We may update these Terms to reflect changes in our products, applicable law, or operating practices. When we make material changes:

• The Effective Date at the top of this document will be updated
• Active paid subscribers will receive at least 14 days' advance notice via a notice in the relevant product interface before changes take effect
• Continued use after the effective date of updated Terms constitutes acceptance

If you do not agree to revised Terms, you may terminate your account before the effective date without penalty.

14. Governing Law & Disputes

These Terms are governed by the laws of the Republic of India. Any dispute arising from or in connection with these Terms will first be subject to good-faith negotiation between the parties for 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts at Saharanpur, Uttar Pradesh, India.
